Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Verity Peptides website and your purchase of products offered through it. Verity Peptides is a registered assumed name (DBA) of Verity Holdings Group, LLC (“Verity,” “we,” “us,” or “our”). Please read these Terms carefully. They contain a binding arbitration provision and a class-action waiver that affect your legal rights.

1. Acceptance of these Terms

By accessing this website, creating an account, or placing an order, you agree to be bound by these Terms and by any policies referenced in them, including our Refund Policy and Shipping Policy. If you do not agree with any part of these Terms, do not use this website or purchase any product from us. These Terms apply to every visitor, user, and customer.

2. Eligibility

To use this website or purchase any product, you represent and warrant that you are at least 21 years of age and that you are acquiring our products as, or on behalf of, a qualified researcher, laboratory, academic institution, or other entity that conducts legitimate scientific research. You further represent that you have the legal authority to enter into these Terms on your own behalf or on behalf of the organization you represent.

We may require you to register an account, provide verifiable information about your research activities, and complete a written attestation regarding your intended research use before we accept or fulfill an order. You agree to provide accurate, current, and complete information and to keep your account credentials secure. You are responsible for all activity that occurs under your account.

3. Research-Use-Only restrictions

All products sold by Verity are reference compounds and research chemicals supplied strictly For In-Vitro Research Use Only (RUO). They are not drugs, foods, cosmetics, or dietary supplements. They are not intended for, and may not be used for, human or veterinary use, consumption, administration, or application of any kind. Our products have not been evaluated by the U.S. Food and Drug Administration and are not intended to diagnose, treat, cure, or prevent any disease or condition.

By purchasing from us, you agree to the following restrictions:

  • You will use the products solely for lawful, in-vitro laboratory research conducted by qualified personnel.
  • You will not use the products in or on humans or animals, and you will not consume, ingest, inject, or otherwise administer them.
  • You will not resell, repackage, or distribute the products for human use, veterinary use, or any clinical or consumer application.
  • You will handle, store, and dispose of the products in accordance with applicable laws, regulations, and accepted laboratory safety practices.
  • You will comply with all federal, state, and local laws and with any applicable institutional policies governing your research.

4. Products, descriptions, and pricing

Our products are research-grade reference compounds intended only for in-vitro investigational use. Product descriptions, specifications, and accompanying documentation are provided to support research and do not constitute any representation of fitness for human use, veterinary use, or any other use outside controlled laboratory research.

We work to keep product information, availability, and pricing accurate, but we do not warrant that descriptions or other content are complete, current, or free of error. Prices and product availability may change at any time without notice. If we discover a material error in a price or description after you place an order, we may contact you to confirm the corrected information or cancel the affected order, as described below.

5. Orders and acceptance

Your submission of an order is an offer to purchase. No order is binding on us until we accept it. We reserve the right, at our sole discretion, to refuse, limit, modify, or cancel any order for any lawful reason, including suspected ineligibility, incomplete or inaccurate information, suspected intent to use a product for a prohibited purpose, quantity limits, pricing or description errors, payment concerns, or limitations on availability. If we cancel an order for which you have already been charged, we will issue a refund for the affected items in accordance with our Refund Policy.

6. Payment

Payments are processed through third-party payment processors using standard card payment rails. By submitting payment information, you represent that you are authorized to use the chosen payment method and that the information you provide is accurate. You authorize us and our payment processors to charge the total amount of your order, including applicable taxes and shipping, to your selected payment method. We do not store full card numbers; payment data is handled by our processors under their own terms and security standards.

7. Shipping, title, and risk of loss

Shipping methods, timeframes, and related details are described in our Shipping Policy, which is incorporated into these Terms by reference. Unless otherwise stated in writing, title to and risk of loss for the products pass to you when the products are delivered to the carrier for shipment. You are responsible for providing an accurate shipping address and for receiving the shipment.

For orders shipped outside the United States, you act as the importer of record. You are solely responsible for ensuring that the products may be lawfully imported into the destination country, for any duties, taxes, and customs charges, and for compliance with all applicable import, export, and research regulations.

8. Returns and refunds

Returns, replacements, and refunds are governed by our Refund Policy, which is incorporated into these Terms by reference. We aim to handle return and refund requests fairly and reasonably. Please review the Refund Policy for the steps, timeframes, and conditions that apply to your purchase, and contact us if you have a question or concern about an order.

9. Qualified-buyer certification

By placing an order, you certify that you are a qualified buyer acquiring the products for legitimate in-vitro research purposes only. You certify that you understand the research-use-only nature of the products, that you have the training and facilities appropriate to handle research chemicals safely, and that the products will not be used in or on humans or animals. We may rely on this certification in accepting and fulfilling your order, and we may request supporting information or documentation at any time. A false certification is a material breach of these Terms.

10. Resale prohibition

The products are sold to you for your own research use and may not be resold, redistributed, repackaged, or relabeled for human use, veterinary use, or any consumer or clinical application. Any resale or transfer must preserve the research-use-only restrictions and all accompanying labeling and documentation. You may not market, describe, or offer the products in any manner that suggests they are suitable for human or animal use. Violation of this section is a material breach of these Terms.

11. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Verity, Verity Holdings Group, LLC, and our officers, members, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your misuse of the products, your use of the products in or on humans or animals, your resale or distribution of the products in violation of these Terms, your breach of these Terms, or your violation of any law or the rights of any third party.

12. Disclaimer of warranties

The products are provided “as is” and “as available” for in-vitro research purposes only. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Without limiting the foregoing, we make no warranty that the products are safe or suitable for human, veterinary, clinical, therapeutic, or diagnostic use, and any such use is strictly prohibited. Verity does not provide medical advice, dosing information, or administration or use protocols of any kind, and nothing on this website should be interpreted as such guidance.

Verity is a supplier of research chemicals. It is not a pharmacy, a compounding pharmacy under Section 503A, or an outsourcing facility under Section 503B, and it does not dispense, compound, or prescribe any product.

13. Limitation of liability

To the fullest extent permitted by law, Verity and its affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of this website or any product, even if we have been advised of the possibility of such damages. To the fullest extent permitted by law, our total aggregate liability for any claim arising out of or related to these Terms or any product will not exceed the amount you paid for the product giving rise to the claim. Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you.

14. Governing law

These Terms and any dispute arising out of or relating to them or to your use of this website or our products are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Subject to the arbitration provision below, you agree that the exclusive venue for any matter not subject to arbitration lies in the state or federal courts located in Texas.

15. Binding arbitration and class-action waiver

Please read this section carefully, as it affects your rights. Except where prohibited by law, any dispute, claim, or controversy arising out of or relating to these Terms, this website, or any product will be resolved by final and binding arbitration administered under the rules of a recognized arbitration provider, rather than in court. The arbitration will take place in Texas or, where permitted, by remote means, and Texas law will apply.

To the fullest extent permitted by law, you and Verity agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person’s claims or preside over any form of class or representative proceeding. If this class-action waiver is found unenforceable as to a particular claim, that claim, and only that claim, may proceed in a court of competent jurisdiction in Texas, while all other claims remain subject to arbitration. Nothing in this section prevents either party from seeking relief in a small-claims court for disputes within that court’s jurisdiction.

We may update these Terms from time to time. When we do, we will revise the “Last updated” date below and post the updated Terms on this page. Changes take effect when posted. Your continued use of this website or placement of an order after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
